The venue would preferably be in or near Chelsea, the West Village, or Flatiron areas.

The Waverly Inn at Bank and Waverly in the Village has reopened with a new chef and a new menu. The restaurant is lovely and the food's really good. There are some very expensive items on the menu, but there are a lot of reasonably priced items. The burger with fries is $13 - it's a really great burger. The mussels are wonderful - $16 for a large plate.

In Chelsea, East of Eighth on 23rd and Eighth Avenue is a very pretty, fun restaurant with a charming waitstaff - you can get a table overlooking the garden. The food is not outstanding, but the price and atmosphere get points and there is a large selection. The sunset menu (early bird) - is $18 for three courses - note to take advantage of this offer, you must get there before 6:45. The restaurant is next door to the movie theatre, so if that's part of your plan.....Krispy Kreme right across the street.

Centro Vasco on 23rd and Seventh Avenue - Spanish food - excellent lobsters - I love their seafood casserole called Zarzuela - an amazing amount of lobster, shrimp, scallops, clams and mussels in a choice of sauces. Sometimes there's are strolling guitarists.

Mare on Eighth avenue and 20th Street has very good food - the prix fixe is a bargain.

Not the Empire State Building. The line is freakin' long. I'd go to someplace nostalgic. I really love Cafe Lalo, which is the place that Meg Ryan meets Tom Hanks for the first date in You've Got Mail on the Upper West Side. Then it's a close walk or bus ride to a gorgeous part of Central Park.

In the Flatiron district, it has to be the City Crab & Seafood Company. In Chelsea, try Frank's for an old fashioned NYC Italian chophouse...

These answers seem a little lacking
you could go for the high end/well known:

Jean Georges
Per Se (very pricey but good)
le Cirque
Nobu
Bond St (best sushi)
Bette (amy sacco's creation)
WD-50
Koi (just for shrimp rolls)
Barolo's (apple ravioli)
Dos Caminos (if you like guacamole and tequila)
La Esquina (get seat downstairs)
Innoteca
Le Sok
Lupa
5 Ninth
Indochine (old school class)
Mercer Kitchen
Babbo's
morimoto's
Le Bernardin
Megu
Cafe Boulud
Balthazar
21 Club
11 Madison (amazing)
Matsuri
Woe Lae Oak (fun experience)
etc.

Lunch/Brunch
SPice Market
Felix's (scene)
Ideya (very good, not well known)
Four Seasons
Sarabeth's (for tomato soup)
Wallse
Cipriani's downtown (scene)
Le Bilboquet
La Goulue
Pastis
Fred's at Barney's
Gramercy Tavern
Nello

god there's a lot of good places here to eat, this is just beginning and just for food, there's much more you could do theatre, etc, though i like first dates to be dinners so you can chat and get to know each other. If you want drinking places let me know.

This totally depends on the girl you're dating, but if a guy took me to Serendipity's, he just might get some action that night.

Serendipity's is known for its AMAZING scenery, and super romantic setting. Think beautiful christmas-type lights, lots of flowers, romantic to the extreme, but not corny. It's on 225 East 60th Street between 2nd and 3rd Avenues. Their number is 212-838-3531, and I highly suggest making a reservation because the wait can be from 1-5 hours. (I'm not kidding.)
