if by 'friendly intentions' you mean gettin busy, then since he has none, this is just a friendly dinner... but i think you need to consider telling the guy youre dating about it cuz he'll find out sometime, and that would kill the relationship. Actually it would cause a whole mess and likely ruin both relationships. You should also figure out if you cant resist the new guy because he doesnt want more.....
