Hi, it appears that an outdated version of MacAfee was the cause of the problem - thanks to everyone who took the time to answer.

First try a clean boot (ie. disabled all services expect Microsoft Services using "msconfig")
now check , if IE is still crashing and go to
Start -> run -> sfc / scannow and hit OK.. to do this you need to have the XP CD..
Still not working the try to download the ie6setup.exe file from Microsoft site and run the file With /q (Ex. ie6setup / q)
