You can probably just edit boot.ini with the msconfig utility, removing the entry for Win98, then format the win98 partition. If you aren't experienced at doing this, I recommend some help, though.

Assuming that you have them on different hard disks/partitions, you can simply format the drive that Win 98 is on, and Windows XP will still function correctly. Or you can just delete the Windows 98 files from the drive (This includes Windows, Program Files etc...) and then remove the Windows 98 entry from the BOOT file in Windows XP (Right click on My Computer > Advanced tab > Under "Startup and Recovery" click Settings, click Edit and remove the whole line where it Says Windows 98, the Save.
Be sure not to mess up your Boot file as it might cause major problems!

Before installing XP service pack 2 you should go to the control panel and click on add/remove box and delete Windows 98 FIRST from there and then install XP.

In case you have installed Windows 98 first and then Windows XP SP2 Professional (which, in all possibilities you have) and if the two OS-s are installed in separate drives, then reboot your PC from a Windows XP SP2 CD, follow on-screen instructions for intalling a new version of Windows XP and when the partition manager appears, just delete and recreate the drive containing Windows 98; use Esc/F3 to exit the setup and you are done.

Best Idea:
Go to Start -> Run.
Type c:\Boot.ini
If you find something like this:
[boot loader]
timeout=30
default=multi(0)disk(0)rdisk(0)partition(1)\WINDOWS
[operating systems]
multi(0)disk(0)rdisk(0)partition(2)\WINDOWS="Microsoft Windows XP Professional" /FASTDETECT
C:\="Microsoft Windows 98" ***Delete This Line***
Just delete the line saying Windows 98

You can goto the partition whose OS to be removed.
Press "ctrl + A"and delete everything.
Then goto start - run - type msconfig (which is system configuration utility) goto "general" tab and then select, "use original boot.ini" option and click apply and finish.
