OEM is Original Equipment Manufacturer. To be able to buy the OEM version you must buy a new computer or qualifying hardware hardware like a motherboard, CPU and Ram etc.
With the retail version you can just buy vista for your old computer without purchasing additional hardware. With the retail version you might also receive a box and fancy packaging, while the OEM might not have any fancy packaging.
Otherwise there is no difference between the two if they are the same version of vista.
