Will everything transfer over, or do I need to back it up on disks before I upgrade?

You should download, install and run the Windows Vista Upgrade Advisor- this will scan your PC and let you know what you need to do before changing your current OS.

You don't need to save the files, but some of your programs won't work on Vista. Just as some of the other peopz, I would suggest a clean install and that includes saving your files. If you just upgrade there will be lots of files that vista won't be using and they would be simply a waste of space in your hard drive. Then you must have the installation cds (or dvds) for each of your programs, but you need to be sure they are supported in Vista. Many organizations have tested their apps on Vista for a year (since the beta versions came up) so you will have no problem finding out if your applications are supported in Vista...

dont upgrade lol install on another partition u will have like 100 non compatible software u will have to reinstall everything just make a dual boot system with xp thats what i have since december; windows vista ultimate and xp pro

It will transfer but I would still back up in case of a crash during the install..

Personally I think I would back up all my files and do a complete clean install but an over install will work and your programs and data will be preserved.

Whenever you upgrade, its always a good idea to make a backup copy of files you want to keep... *just* in case. Better safe than sorry, you know. Besides, if its worth keeping, its worth backing up.

Supposedly it will keep all your files, but you should still make a backup just in case. I was reading a PC Mag article where someone lost everything. It's not likely, but it can happen so backup your data.
