The big deal overall is that it's a new OS from the leader in OS development, MS. Aside from that, it offers a few other features that, for the most part, are completely useless.
It's better to wait for it due to the lack of device driver support. Right now, most drivers are still in the beta stage and have compatibility issues.
Benefits would be the new .NET framework, the addition of integrated multimedia tools, DX10 support, increased security (we will see), and other 'convenience' tools.
One benefit that I've heard, though can't confirm, is that hardcore 3D gamers will love Vista because of it's superior resource management. Basically, when playing a game that requires a lot of resources, Vista shuts down all unnecessary background processes automatically - going into sort of a DOS-mode stage of sorts, allowing more CPU and RAM time for the game. Of course, this is just what I've heard, I haven't found confirmation anywhere as of yet.

What are the drawbacks might be a better question. Vista downgrades the audio quality on "protected" music downloads that aren't cosher.

I'm going to give it at least a couple of years, so that all the bugs, etc., have been found. If Windows is your thing, I don't really see that XP needed replacing.
