Breathe.

Sorry to say this, but oatmeal has carbs, and calories. But, it has dietary and soluable fiber, which goes into the blood stream and cleans out the Bad Cholesterol.

You need to look at your entire diet. Yes, this can be a massive undertaking. You are looking for 5 to 8 servings of fruits and vegetables a day (why? bulky leaving you full, filled with minerals, vitamins, fiber, and anti-oxidants), low fat dairy and meat (think Skim or 1% milk and light cheese, poultry, fish - your Omega-3 source - and beans & nuts - these can be your main source of protein), and you need 6-11 servings of fiber-rich carbs (whole grains, cereals, oatmeal). Remember, your brain will only run on carbohydrates, so look for complex carbs over simple carbs (sugar) - and don't assume that carbs are bad! They are your main source of energy.

The idea is to eat in balance. The food pyramid site is your best friend on this. This way, you are getting all the nutrients that you need. By switching to a healthy diet, most likely you will lose weight. I also added the diet site that I've been using (free after registration).

The flip side is that by eating too much, even if it is healthy, you will not lose weight. What you need to do is create a calorie deficit of 500 calories per day over what you are eating now. This doesn't mean merely eating less, but also burning additional calories to create the deficit. You might choose to burn 250 extra calories and eat 250 fewer. The point is that every 3,500 calories you save, you will lose a pound.

When you're not sure what to eat, flip the package over. It will tell you every thing you need to know about the product. Some things that seem healthy often are not, and vice versa.

Good luck! Enjoy drinking 8 glasses of water a day!
