Is it legal to trade between to private parties? If my friend wanted to give me his car for a copy of XP would that be legal?

It would work under these circumstances.
1. It is legal software.
2. The person who sells it is no longer using it.
3. Install it in your computer to make sure it works before giving the seller the money.

If you follow ALL 3 rules, there should be no problem at all.

It all depends on rather the software is being bought from an authorized dealer. I would be skeptical.
