the floor hole is the best to go by.

The overlap can be as large or small as you want, as long as it's just larger than the hole in the floor.

The hole in the floor is what you have to fit it to, so you at least need to know that. It might help to know the overall dimension to make sure it fits when set against the wall, but the floor hole is the critical measurement.

Most vents will probably vary only by width (length), not so much distance against the wall.

You go for both. Old cut outs and new vents now a days aren't match most of the time. This way you can make adjustments, which I did on my old house. Did a lot of modifications myself because I couldn't find the right size anywhere for my vents.

if the flooring is 'stained', and like new under the cover, i would take both sizes and make sure the replacement will cover it completely. it would look funny to have a spotless outline around your new cover if it were smaller. just my thoughts on it. good luck, hope this helps.
