look around you love their isn't a person on earth who has not breached so called ethics , it's called evolution , if you dress up as a fireman are you a fireman - no ! you are who you choose to be so choose to be a person that lives on there own ideals instead of a conforming automatism of an uncaring world and it's universally stupid population .

He is totally smitten with you, people who don't care don't get flushed when someone walks in the room. The fact that he's dressing to impress speaks volumes also. I am getting the flavor that you work together and it isn't allowed which is common, fraternization is looked down upon in a lot of companies. You might also be his boss which is a no-no. If that is the case it wouldn't be a good idea to pursue a relationship.
By the way you don't fancy someone because you are supposed to, you fancy people because you are drawn to them for reasons we may never figure out. I would have lunch with him or coffee or tea or whatever and talk to him. Sometimes clues come out by what people say or what they don't say. He might be your soul mate and if he is you don't want to let that slip by and later in life wonder "what if". If it's work related ethics then someone might want to go to another company or keep you relationship on the down low and not let anyone know. It could get sticky though but I would check it out anyway, life's too short and you sound interested. Your head tells you one thing and your heart tells you another, it's up to you who you listen to. Good luck.

Let's say he fancies you and you're attracted to him ok? Then you have to decide what to do about it...you talk about the ethical barrier (?). If you feel it's wrong don't do anything - just go on treating him like all the rest and pretend you don't have any inkling of what's going on....if you think it's right, then make a move, or encourage him to...stop wasting your (and his) time!

Ethics and desire, the age-old conflict. Stay cool, you could easily burst this bubble of fantasy & have a great, brief time. Be realistic- the consequences are what you'll have to live with.
Nothing is so chilly as an ex-lover consumed by guilt. Have fun in knowing you are desired, but get your love n' sex where it's less complicated

He does fancy you that is why he looks away - not because he doesn't want to look at you but because he knows he shouldn't be looking at you that way for 'ethical reasons'. It is a subconcious thing - he probably doesn't even know he is doing it!
Don't know what the ethical reasons are but unless they are cast in stone - what is anyone going to do about it!

Stop wasting your time worrying over someone who might like you who you might not be able to have.
If a guy really likes you he will approach you - barrier or no barrier. If he's not giving you any clear signals think no more about it until or unless that changes.
You'll find life is much easier if you stop wasting time worrying about the what-ifs and start embracing the can-dos and here and nows!

is there and age gap between you.
he certainly likes you and respects you, it is a hard position to overcome. if you two are really that good friends he may not wish to jeopardise this.
indirectly he does fancy you but does not wish to offend.
although it is hard try to talk to him about this too.
