Well, it depends on where you buy it. Many online software vendors sell OEM software and the respectable ones (e.g. newegg.com) are safe to buy from. However, there are many online websites which sell counterfeit software (e.g. Ebay). Be sure to check out the site prior to making any purchases.

By the way, OEM software does not come with a warranty nor does it include an owner's manual.

I'm pretty sure legally it is supposed to be paired with a piece of hardware such as a motherboard, or a hard drive, but you find it online all the time.
As others have stated, make sure you get it from a reputable seller that's not selling you an OEM windows that has been installed on a computer before. Why?
The difference between OEM and the retail version of windows xp is the OEM cannot be transfered from one computer to another. If that computer dies, the license to use it dies with it. The retail version can be moved, as long as it's only on one computer at a given time. That's the difference in price.
PC manufacturers ship new PC's with the OEM version. Origional equipment manufacturer= OEM.

well it depends on what you meen, if your talking about the emails we all get for oem software for next to nothing, those are almost alwas a scam of some sort, they are either selling copied disks or are just getting your credit card number to rip you off, dont go there.
but if you are refering to people selling oem windows origional cds on places like ebay auctions, they are usually good, you just have to be carfull to buy one that is not branded to only install on a dell or some other specific OEM. also make sure they are offering it as new with legal serial number, COA
you can save up to 50% that way.

in case you purchase it from a great broking that's probably genuine. merely comprehend that it may purely be put in on one workstation, and purely that workstation. as quickly as the workstation is destroyed or discarded, you won't be able to use that disk to place in XP on a diverse workstation as you are able to with an entire retail version.
