you are right ,most of these downloads alter system 32 files in windows which are important files responsible for the smooth running of windows xp
by changing them you can actually affect other parts of the operating system,sometimes only minor but depending on the download sometimes major
the only recognized xp themes and styles website is http://www.stardock.com/,these have safe downloads that can change your desktop theme and taskbars,ect
i have used this and its about the safest around,they also have a vista theme avalible,so you can download it and fool your mates that you have the latest operating system,thats until they ask you to tilt the windows in 3d(aero 3d)
also a good recommendation on a site can be found by installing a usefull tool called mcafee site advisor(http://www.siteadvisor.com/),this will let you know if the site you are going to use is safe or has a history of bad downloads

You can change the theme. You need a software called StyleXP. And you can download the themes from http://www.themexp.org
