I believe that 12 years old is too young for any kind of dating type relationship. At that age, the best thing is just friendship.

Talk to her first about whether or not she likes you as well. Get to know each other first -- dating can be very awkward, but it is a lot easier if you know the person well and can laugh about it. Talk to your parents -- do they have rules about dating? You seem like a bright kid who has his head on straight, however, without knowing you personally, I can't really say if you're "ready" to start dating. Just take it slow, have fun, and don't worry yourself about it too much... Good luck!
