hes either seeing someone you dont know about or hes scared that she is out of his reach

He is possibly already in a relationship, or he is really actually gay but he say you are pretty anyways because of the way you look but he isn't interested in you.

Maybe he is too shy to invite the girl.
It is also possible that the situation is complicated.
