If I upgrade from XP Media Edition to Vista, will I lose all of my files if I don't back them up?

No, but you should back them up anyway in case something goes wrong. And, if possible, backup and format the drive and do a clean install.

No. As long as you don't format your drive, then you are going to have all your files. Your settings may revert to default in the upgrade process.
