Upgrade to what? XP? First you should run the XP upgrade analysis program that was put out when they introduced XP. Most of your drivers will become obsolete with XP, so it's best to search your printer's, scanner's, & other peripherals' web sites for availability of XP drivers BEFORE you upgrade.

Should not be a problem, drivers should be available, but you need to know some of those won't work until you download and install the XP drivers.

most likely you shouldn't have any problems to upgrade when you put a newer operating system CD in the CD ROM but just out of curiosity i wonder why you haven't upgraded by now because even WINDOWS XP is OLD the Brand NEW WINDOWS VISTA is coming out at the end of the month and it wouldn't let you install it unless you have at least 512 MB of RAM

You have to have a Windows 2000 or Windows server 2003 to update to Windows XP or Vista.
