That is a tough question. It took her awhile to get over her anger toward him. But I think it was when she went away to her cousin and friend's house for that bit of time and Darcy was there and she got to know the real him. That is when she really fell in love with him, but she refused his proposal only because she thought he had been a jerk to that one guy she like for awhile (I can't remember his name, I think it starts with a W). The turning point though was when she went to Darcy's house and he ended up being there. What a great book, I think I am going to read it again!

I agree with Pamcakes. When she was staying at the Collins house, when they kept doing dinners with the Lady Catherine de Burgh as well as Darcy, he started turning on the charm, and she began to be intrigued. But as soon as she learned of Darcy's actions against Jane, she hardened her heart to him. Then when they met again at Pemberley, and she saw how he treated his staff and his sister and her aunt and uncle, she seriously began to fall... I'm pretty sure she was in love with him by the time she got the news of her sister's folly, because one of the things she says to Jane, in condemnation of Lydia, is about their own reputations, and Jane seems surprised that Elizabeth would care about their own reputations, not knowing it's because Lizzie thinks things have been ruined with Darcy. When Darcy rescues the family--that's the icing on the cake.

I think that Lizzie falls in love with Darcy when he saves her family's reputation by making Wickham marry Lydia. That was when she realized that he truly was not just a proud and arrogant man, but that he could help others when he felt it was his duty and honor. When he does this, Lizzie feels such gratitude and realizes he has that other nicer side than he likes to show.
