"With all their capabilities" is probably a bit better, but it's not clear what that clause is attached to, or what its purpose is. Are you talking about the second party, the first party, or the party(ies) appointed by the first party? I assume you want to say that the second party must use everything they have to carry out the duties. The change I'd make is to clarify that. Perhaps move the clause to the beginning ("The second party must carry out with all their capabilities...") or make it separate sentence.

The subject of the sentence "the Second Party" is singular, so it should be "with of of its capabilitities," etc.

The first sentence should read "duties given to it"
