Others have explained well. My contribution: When someone says "heads up" I duck then look up to see what missed me.

we want them to look up at the thing heading towards them then duck out of the way of it.

You've got it all wrong we say "heads up" when something or someone of importance is coming our way. We say "duck" when something is about to hurt or hit us.

When I was at Uni studying Drama and Theatre Arts, we were told that if you are up high in the rigg setting up lights or whatever, and you drop something, you have to shout 'HEADS', so that people know something could fall on them. I guess 'heads up', is a varyation on 'look up' meaning 'look out!'.

Heads up means to look up. We want people to look up and see what is coming their way so then they can:
a)catch it
b)duck asap

To draw your attention upwards so you know what's coming. Then instinctually you duck down...

It means wake up, look around and be aware of what's coming. You say it because whoever you're talking to isn't paying attention to what's going on around them.
