The First Party *grants* work assignment to the Second Party within the latter’s specific fields of competence and expertise as described in the Terms Of Reference (TOR) set by the First Party, and Second Party cordially accepts the aforementioned assignment.

Since the 'Second Party cordially accepts', I believe, 'grants' is the perfect word to use.

It could be grant if you say "The First Party grants the work assignment..." It would sound more important I think.

"gives" (don't forget an article before "work assignment" or set in into the plural).
"grants" sound a bit over the top.

As it's a business letter, "grants" would be better.
