For me that statement says something of the persons self esteem.
It means that he/she places you above them, & even though they want to be with you, they don't feel deserving of the kind of joy they think such a relationship bring them.
That feeling could stem from either, or a combination of guilt, self-esteem, or social standing.

I've learned a long time ago, when someone says they don't deserve you, believe them! Cut your losses and move on.

It sounds like if this person is just leading you on. I would agree that they don't deserve you and look else where for love.

Sounds like that person has some issues. It means they are in lust with you but dont love you. Read between the lines, its a code.

I realize that they are trying to be manipulative by making a self-effacing statement. People like that are one emotional crisis after another just waiting to be invited to play out their dramas in your life.
I'd tell them, "You are so right." Then I'd step away; very, very far away.

That 'someone' is attempting to be a martyr. Dont fall for it.
They're not secure in who/what they are.
