For me that statement says something of the persons self esteem.
It means that he/she places you above them, & even though they want to be with you, they don't feel deserving of the kind of joy they think such a relationship bring them.
That feeling could stem from either, or a combination of guilt, self-esteem, or social standing.

I realize that they are trying to be manipulative by making a self-effacing statement. People like that are one emotional crisis after another just waiting to be invited to play out their dramas in your life.
I'd tell them, "You are so right." Then I'd step away; very, very far away.
