If using windows XP Pro:

1. start > run > gpedit.msc

2. Navigate to Computer Configuration > Windows Settings > Security Settings > Local Poliicies > Security Option

3. Scroll down and locate the policy "Shutdown: Allow system to be shutdown without having to log on".

4. Right click on it, and select Disabled.

If using Windows XP Home:

1. Open regedit. Start > run > regedit

2. Navigate to : HKEY_LOCAL_MACHINE\ Software\ Microsoft\ Windows\ CurrentVersion\ Policies\ System

3. Create or modify the REG_DWORD key "shutdownwithoutlogon" and set hexadecimal value of 0

Why would you want to get rid of it?

I don't think there is a way, other than through Group Policy's being pushed down through Active Directory via Windows Server 2003 or Windows Vista Server.
