Make sure it's the right code- no mistyping an 8 for a B, or an S instead of a 5... and the version has to match. An upgrade CD needs an upgrade key, not one from the full version, etc.

Is this from a Volume License Key or from a College? If so it may be an invalid or locked key that is now restricted from Authroization. If its just a writen down key check the side of your computer for the Microsoft Genuine XP Serial or check to see if the charcters are transposed

Check the typing carefully, many times it's just a mistyped letter. After that, call Microsoft.
