The D40 is a new, updated version of the D50, in a smaller body. The D40 has more features than the D50, but the D50 is also a very good camera, especially if you get a great lens for it. D50's are selling very cheap now as well, so you could put the money you save towards a better lens.

The D50 was discontinued, the D40 is the replacement. The D50 still has the auto-focus motors to use the older lenses, the D40 requires that the lens has the motors, therefore only supports newer lenses for AF. I believe the D40 is scaled down further in order to give Nikon a lower cost entry level product. Between the 2 I'd get the D50 if you can still find a new one or a good used one.

The Nikon D40 is an all new affordable, compact, point-and-shoot digital SLR from Nikon, it follows on from the D50 but at a significantly lower price point and with a subtly different feature set. The biggest news however is probably fact that Nikon resisted the temptation to keep chasing megapixels (hooray for that) and instead appear to have concentrated on what makes a good camera, a decent viewfinder, short shutter lag, very short viewfinder blackout. They've trimmed some of the 'less important features' (you can't change the exposure steps for example) but have squeezed a range of new features such as custom Auto ISO which we welcomed with the D80.

Here are some articles that mention some differences. The Ken Rockwell article has more detail and links to other reviews. I'd say that the major difference in use is that the D40 only has 3 spots for auto-focus instead of 5. This is probably not a big deal most of the time for most people. If you own some Nikon lenses already, you might want to check compatibility, but if you don't own any lenses already, the lack of compatibility is no big deal.

They are targeted at different people. The D50 is aimed at people who want to start photography as a hobby. The D40 is aimed at the point and shoot people who want a camera with the benefit of interchangeable lenses but who don't want to get involved in the more advanced aspects of photography.

I will second what Alan said.
Plus, D40 is lighter, has newer engine and lots of other "stuff" well described at dpreview.

However, "better" should be defined by you. Go to a store, hold each one in our hands and see which one will make you feel better to take pictures.
