Similarities: 1)Bryophytes (mosses) and Pterophytes (ferns) both have water dependent sexual reproduction. 2)They are both seedless plants. Differences: 1) Mosses do not have vascular tissue, Ferns do (thats why they can grow taller than mosses) 2) Mosses are gametophyte (haploid multicellular phase) dominant, Ferns are sporophyte dominant (like all vascular plants, meaning that the green plants your looking at are of the sporophyte generation).

heres a couple of pretty gppd sites that should help you. the primary differnece is in the phylum or species of each. also ferns are vascular plants as opposed to moss which are non vascular.
