There's a number of choices, but most are poor because a) they cost money or b) they come with strings attached.
So there's a few choices that do the job, and quite well too, but ease of use is...umm..lacking.
VirtualDubMod (http://virtualdubmod.sourceforge.net/ ) is extremely powerful, and can be used for the above conversion you want. It does a few other things too, so you may want it anyway.
A very impressive piece of software is SUPER (http://www.erightsoft.com/SUPER.html ) which works with other free pieces of software to do video conversions. Instead of giving you 10 different links, I'll just tell you to get SUPER.
You also have AviDemux (http://avidemux.berlios.de/ ) which does the job. Take your pick.
