How can I make a restore CD (or DVD) so that I do not have to re-install all my existing programs. The existing motherboard is also XP SP2.

The motherboard has nothing to do with that.
If you keep the same hard drive it shouldn't be a problem.
You can make a complete backup of the system (with all installed programs) with programs like Acronis True Image.

Backup your data first...

Install the new motherboard with the existing hard drive. You system will try to boot but because the hard drive controller etc are different it won't work.

Use your windows XP CD and start an install. The CD will give you and option to press r to use the recovery console to repair and install but DO NOT DO that. Say no to that option and continue with the install, after the license agreement screen windows will ask you if you want to repair your installation say yes to that option (Press r). It will install windows while saving your applications and user settings.

You will have to reinstall the windows XP patches as it returns it to the level of the install CD you are using but everthing else should remain. I have done this on numerous systems and never had a problem but it might not work so that is why you at least want a backup of your data.

Windows does not like having a motherboard changed under it. Your best bet would be to just perform a repair install once the motherboard is replaced...here's a tutorial:
