sure it will mine works great :)
first backup the windows folder to a dvd or external for driver reference after u install the new one ... pop the new one in and follow the prompts to delete the partitions ... if it wont let u then use bitlord to get partition magic and use that from windows to delete the C drive .. it will reboot .. when its finished u will get a blue screen ... reboot, enter bios settup and put the cdrom to first boot device if necessary ... then pop in the windows disk ....oh and one more thing ... be sure the disk u downloaded will boot before u do this ... if not then u will need to redo it and make it bootable .. good luck ...

google search: xp update nagging screen

How to get it away is still in net.

Why: MS does not chase You or any users - they want to get crooky professional PC merchants that create bootleg CDs. If You still have the cd that looked ok? MS will give give You even new keys - if You give them the merchant name.

& That is why It is "only" a nagging screen that does not damage pc or data. So if You can live with it : - ) ...

Formating or deleting Windows folder is always the last step AFTER You saved Your data. In all cases You need backups of You private data: pic, mail data, music including dma data protecting them (if they are coded that way): Prgrams needing such have export functions - use them and burn all data on CD.

After all that You can install Windows from bootleg or genuine cd.

For new install You can either reformate c:/ or delete Windows folder with special preinstall cd such as Bart's PE.
When You start PC with another bootable medium
the files in the Windows folder are not locked against deleting.

You'll have to copy everything you want to keep onto a flash drive or external hard drive or CD-Rs, then reformat and install the new Windows, then copy everything back. All of your programs will have to be reinstalled. Or you could just find and apply a WGA (Windows Genuine Advantage) crack.
