what do you guys think?
my only concern is if motherboard FSB will match that of the processor?

p5n32 doesnot have quad core capability and i am keeping that in mind.

instead of buying 2 1gb modules or 1 1gb. i am gona buy 1 2gb module to cover my self for future upgrade

Yes the P5B series motherboards support socket 775. They even support quad-core for when you want to upgrade. Your specific motherboard will be able to support SLI or Crossfire because of the two pci-e slots, and it comes with the asus utilities to overclock your processor if you choose to.

For the memory you should look at two 1 gig cards probably. 240 pin, 667MHz sticks would work.

Yes it will work. I would personally suggest something in the P5B series though, the 965 chipset is better than the 975 chipset from what I have read, especially if you plan to overclock. As for the P5N the one guy mentioned, it will take quad cores, even if it doesn't say so the Core 2 Quadros will go in any board that takes a Core 2 Duo.

If the motherboard is a socket 775 it should be okay, but id reccomend looking into an ASUS p5n32-SliDelux, its perfect for fast highend computers and has a lot of extra features at a reasonable price

XM2S-6400C4 would be tested at Cass 4-4-4-12! All at 1.9 Volts minimum, and you have to be running a 1066 FSB CPU with this MB.
