You can have NTFS file system only in Windows XP unlike Fat32 which can be present in all windows version.
If you have XP, i will say have NTFS. It provides a better stability and privacy and control to your account

In a nutshell, NTFS is more efficient and secure. You also cannot have files larger than 4GB if you use fat32. to respond to the above poster: If you need to run an older operating system like windows 98, just create a small partition on the main hard drive and format it with FAT32. There is no need for format the entire drive with FAT32. That would be foolish.

Formatting you computer or a smaller device (i.e. a memory stick)? You'd need to go NTFS for anything over 4GB...

One tidbit, if you start with Fat 32, you can always go to NTFS but once NTFS, you can't go back!

NTFS is more stable, and needs to be defragmented a lot less.
