Both version has exactly the same software. The upgrade version will ask for the Previous window version disk or it won't install. It's also cheaper.

Nothing they are the exact same OS...Just the upgrade you can only upgrade from a older windows version...the other you can upgrade or new install ..You can also boot the upgrade Home disk and it will not find a OS on the hdd and just insert a previous windows cd..95,98,2000 or Me and it will continue the install and be brand new install or just upgrade while windows is running and it will keep all your files and settings the same...Thanks

Upgrade is cheaper, but it requires you to have a valid previous version of Windows to upgrade from, e.g. Windows 98/ME/2000 and possibly even 95.
