At 15 and 300 pounds, I'm sure she knows she's overweight.
Do you know if she's sensitive about the issue? If not, let her know you're concerned and invite her on your walks or other activities. Don't make it about you trying to motivate her. Just let her know she's invited to do these things with you.
She's probably needs a lot more help than you can give her.

just tell her ur worried about her then tell her that u can help with her loosing the weight. Go to the local track and start walking a mile a day wen u think u can step it up try jogging. Then u no just tell her to stop eating all that junk food...if u just cut out the fat and keep the carbs u should loose the weight faster. But dont cut the fat and carbs out together because u will need the carbs for energy.

i would start off with telling her that she should know by now that you are her freind no matter what, and then that being said, let her knowyou are concerned for her health and that you would like to be there for her if she'd like to improve her health. then do it, walking as the others suggested is a great place to start.i personally lost 10 pounds in 2 months just from walking. it is slow, but it is progress, also make sure she eats the right kinds of things

She knows she has a weight problem. You don't need to tell her.
Why not make plans to go walking with her? She might not want to walk too far at first, but go regularly. That will help her to be healthy no matter what she weighs, and you can talk about whatever she wants to talk about.
Also, sometimes when someone is really obese, they may have been sexually abused. If this has happened to her, you want to be really compassionate and help her get counseling, and if it's still happening, it needs to be reported.

Suggest you both try out for a sport "for fun"... She'll get the exercise she needs and will have fun at the same time... Also suggest trying a healthy food cooking class. Learn how to make delious treats for low calories... If you have a sleep over, maybe make low cal fruit smoothies and microwave popcorn. Just make sure you skip the butter...

I am sure your friend doesn't like being this size. Usually there is a reason someone is that heavy. Either they have been sexually abused as a child, or it is a way of getting attention even if it is negative. Maybe you could suggest something for the two of you so that she is not alone in getting rid of the weight. Her health is in jeopardy.

Her feelings will heal more easily than her body if she damages it at such a young age.
You don't have to be ugly...she knows she's fat and she knows it's not healthy. Offer to exercise with her or offer to quit eating junk foods with her...be there to support her and let her know it's out of concern for her health, not her appearance, that you hope she will find the strength and desire to lose weight.

First, has she asked you for help? I'm sure she's very aware of her weight, as are her parents, and her doctors. If you really want to help, start a low-impact exercise yourself, and invite her along. Start walking a mile a day, and invite her to go, rather than telling her she should walk more.

U need to tell her sumthin b4 it's 2 late becuz bein overweight can harm her health. Tell her dta u r concerned and u don't want anything 2 happen 2 her and tell her u r not trying 2 hurt her feelings but u r trying 2 help becuz u care about her.
