Wow, I can't believe all the touristy answers to your question. Who the hell from SF would propose at the Cliff House. It's a cheezy tourist riden place (yes, the view is amazing) but the food is overpriced. Oh my god, someone recommended the cheesecake factory! That definitely takes the cake. What a terrible food chain in the worst area of SF (Union Square), tourist central. Definitely go to Marin County, pick a place a week before that has a beautiful, quiet view of the city from afar, and while all is quiet and romantic, pop the big question. That's my take ;)

Alcatraz, if you are in to irony.

But seriously, Coit Tower is good. Or take her to a romantic restaurant in Little Italy and pop the question there. Marin Headlands, as has already been suggested. I actually think the best views are further up the road towards the top of the hill.

There are several good places in Golden Gate park too, the Conservatory of Flowers, the Japanese Tea Garden or maybe the new M.H. de Young museum, check the view in the following link

The Palace of Fine Arts looks great, but some of it is closed off

Good luck!

Oooohhhh there are too many good places.
Coit Tower (duh)
The Golden Gate
Palace of Fine Arts
During the day on a boat on Snow Lake in Golden Gate Park
Out on the hiking trails around Baker beach with a view of the bridge (on the ocean side)
The Starlight Lounge (but everyone does it there, still good)
The Legion of Honor
Max's Opera House in Burlingame (little south of SF but they can sing well)

There are many places so have fun and be incredibly passionate. Also go eat at the Bocce Cafe in North Beach area. It's on Green, kind of on the way to Coit Tower (hint hint for Coit Tower) the restaurant has wonderful food, atmosphere, and affordable prices. Set you all up for the big question.
Good Luck.

Top of the Mark, in the Mark Hopkins hotel. Carnelian Room at 555 California. If it's not too cold, Yerba Buena Gardens has a lovely waterfall site.

If it's going to happen during the day, the Japanese Tea Gardens are beautiful and serene; Vista Point overlooking the Golden Gate Bridge at sunset. If you're adventurous, take a Bay cruise and pop the question as you pass under the Golden Gate Bridge. (Caveat--it's pretty darn cold here now.)

How exciting, I hope you two have a great time in our city by the bay.

There are so many places, and so many have been listed here.
I would recommend either the Palace of Fine Arts or the parking area on the north side of the GGB. You can look back and see a lot of SF and surrounding areas like Alcatraz, Angel Island, SF, Coit Tower, the bay bridge, it is beautiful. Have your girlfriend stand near the stone half height wall, get down on your knee and profess your love for her. But dress warm it is chilly and can be windy too.

How romantic!!! Making memories neither one of you will ever forget.

I've had friends proposed to at the Legion of Honor (there's a grassy hill that is supposed to be really pretty and takes you away from the city rush), Golden Gate Bridge, and the beach. Twin Peaks is also really beautiful, especially at night as you can see the whole city, but it may be too cold and there's the risk of dropping the ring and not finding it. I heard Cafe Jacqueline is a romantic restaurant, specializing in souffles...haven't eaten there personally but I've been told the food is good.

All the other suggestions here are great. Here's one more to your list...........Sausalito. It's a beautiful and romantic town along the water, a bit north of SF. Not far at all. It's regarded as the wealthy's playground with yatchs and boats, but a very lovely place for strolling, window shopping and admiring the sunset. Good Luck!

There is a park right next to the Grace Cathedral. I always thought that was a really romantic square - you have the church on one side, historical hotels surrounding you, views of the Bay Bridge to one side and the cable car going by. Awww...proposing on New Years, that's sweet.

How about the top of Coit Tower before they close for the evening?

At the Cliff House at a window table at sunset; talk with management about arranging it.

How about in the middle of the Golden Gate Bridge just before it closes to pedestrian traffic or at sunset?

Many romantic places in SF.

I saw a guy proposing on the outdoors balcony of the Cheesecake Factory restaurant on top of Macys in Union Square. At night, theres a beautiful view of the city skyline. But it might be a little noisy. Good luck!
