Do you mean a letter of reference, or a letter of guarantee? A letter of reference simply is a letter that explains how you know the person and that they are reliable and a good worker. It focuses on their strong points and accomplishments as you know them. A letter of guarantee from a company is usually a letter that says that they will assume financial responsibility for a students tuition or whatever else they are going to take responsibility for. Normally in this type of letter there is a caveat that the company will sponsor this person, pay for her education PROVIDED that she attends classes and passes with whatever grade your company sees fit (normally a B). It needs to be signed by the person who is guaranteeing the funds and to whom the bills for tuition and books will go to.
