Upgrade means you want to keep all the programs and change ME with XP. When you boot from the XP cd, on the first window that is displayed you should be presented with that option Update or new Installation. If there is an Update option then you can choose it to continue otherwise you should be ready to loose everything that is present on your computer now. A new or Fresh Install will delete every thing on the first partition or the C drive. If you have things to save then either get them copied on Cd/Dvds, or transfer them on another partition if there are any (D, E etc)
You need not worry about closing the programs, because you have to put XP cd in Cd Bay and restart the computer so that it can boot from the cd drive.

Simple answer is "no" you don't have to do anything but put the disc in, and restart the computer. The thing you might want to do is back up say your Favorites from Internet Explorer, any documents you typed, and email address list if you use Outlook Express. Another thing to check is you might have programs you want to put back on the computer once you install XP, make sure you have all the CD keys (those serial numbers). If you don't, before wiping out the computer, click on Help for that program, and the last entry "About." It usually will list the serial number. Anyhow best of luck. Chow

do you have any programs on me that you want to keep?
if not just put the xp disc in and restart and follow the installation guide
to remove old programs from your system you go to control panel
click on ad/remove icon and delete the programs from there.

I don't think you have to do anything other that just put in the disk. As far as stopping the programs you are talking about, you have to go into msconfig.
Start>Run>type in msconfig>Startup. There you can stop the programs you do not want to run. Be careful not to stop a windows service.
