If you've got something that bad, I'm sorry to tell you that there's only one way to truly fix your system, and that's to reinstall windows. You'll need to do a few things:
1. Find the CD's that came with your computer, they'll have the right one labeled on the CD
2. Back up personal data, such as important docs, pictures, (unreplacable) music, etc, because when you reinstall it totally wipes all that stuff. Good news is that the virus(es) get totally wiped out too, so its a tradeoff
3. Pop in the discs that came with your computer and reinstall.
4. Once your running again, make sure you install AVG antivirus and Spybot SD (anti-spyware). These will help make sure you don't have the issue again. Just do a search for AVG free, and Spybot SD and they'll both be at the top of the list (at least on google).
Sorry, but this is the only way to be sure you totally get rid of it. If you have that severe of a problem, chances are you won't even be able to install an antivirus, and even if you do its too late to totally remove it, it's buried itself deeply into your system.

CAUSE
This behavior can occur if Task Manager is running in Tiny Footprint mode.
When you double-click the empty space in the border around the tabs, Task Manager switches to this mode.
RESOLUTION
To switch Task Manager to its normal display mode, double-click the top border of the window.
WORKAROUND
1. To work around this behavior, perform the following steps: 1. Click Start, and then click Run.
2. Type taskmgr.exe.
3. Hold down CTRL+ALT+SHIFT at the same time, and while holding them down press ENTER.

Oooh, that's not good about the Task Manager disappearing. Sounds like something nasty might have found its way into your system.
Dunno if this'll help, but I use "Process Explorer" from sysinternals, which can operate as a "drop in replacement" for Task Manager - so that might be one way to get some sort of control back.

As regards startup stuff, on XP there's a program called msconfig which allows you to tweak this stuff - sorry I can't remember whether this was inherited from W2K (and thus applies to you) or is new in XP.

To remove unwanted programs from starting when the pc boots, u can use MSCONFIG (click start > run > type MSCONFIG > click ok), under the "Startup" tab. Alt, u can use this free program too http://www.mlin.net/StartupCPL.shtml
But make sure u know what u r removing; u can search the entries on google to get more info of what u r about to remove.

you have a virus, probably a hijacker. it disables task manager so you can not shut it off. get adaware and AVG, they are both free and they will get rid of that for you
