How much money do you have? I have a bit of reputation for being the eternal romantic guy so here is my suggestion if money isn't too much of an object.

You will need:

A ring (heart-shaped diamonds are ideal)
A velvet cushion (available at most wedding/card shops)
A bottle of champagne
As many roses as you can afford
As many balloons as you can afford
A bunch of candles
A silver platter with cover.
Ideally a special date (anniversary, birthday, valentines etc.)

Spend the day making the house perfect, balloons, roses, candles all that romantic stuff.

If you can cook, cook her favourite meal, if not hire someone to cook it for you.

Invite her over, tell her you did it all for the special day or if there is no special day, because you love her and don't show her enough.

After the meal, bring out the silver platter with lid, Tell her it is dessert. Let her lift the lid, underneath put the ring on the cushion. As she lifts it, get on your knee beside her, take her hand, tell her you love her and that you want to spend the rest of your life with her and ask her.

Hopefully she'll say yes and you can have each other for dessert!

Great question, bro'. As other people have suggested to you, this is something very personal, there is no "correct" answer, and it really depends on the girl's personality and interests.

For example, a friend of mine segued into his proposal to his girlfriend by hiding the ring in a box of popcorn in a movie theater. This may sound stupid to some people, but she really dug it.

Think of something of a special experience the two of you share. Maybe the place the first time you kissed, or your first date. Then surprise her by taking her back there on the anniversary of that event (even if its a ? year ? month anniversary). And tell her how your life has never been the same since that moment... She'll say yes. :)
