If you own 2 licence, yes, you can have it on both PC and laptop.
Or if you have a open licence that work out to be more then 2 licence and no other machine it using it, yes you are on the right track.
If none of the above, I am sorry that you can only use it on one machine.

you need the XP install disk or there's no hope. If you have it, your problems are:
(1) your install disk might not be valid for upgrading ME to XP. They are funny about things like that. Read the small print.
(2) if you do a complete install from scratch, you lose everything on the laptop and will have to reinstall all of that - means finding a bunch more installation CDs for software and backing up your data
(3) licensing - you're almost certainly breaching copyright in doing this and you may find that validation/activation means you can't run the OS once it's in, either now or at some point when you download some enhancement or other.

sort of but not really. Licensing restrictions do not allow for the same copy of windows to run on more than one pc at a time. You could however use a shared desktop type of connection to access xp from the laptop, but it would still actually be running on the pc.

Unfortunately not, Microsoft licence each copy of Windows so it can only be used on one machine
Some companies have volume licensing agreements that allow them to use one copy of Windows on more than one machine, but you must be a business to do this.
If ME is causing you trouble (it is unsupported now so any new flaws found in it won't be fixed by Microsoft), then try a Linux distribution (Ubuntu is a good place to start). It may not run everything you want, but at least it will be supported (in as much as bugs and flaws will be worked on).
That said as long as your ME machine stays off line, I don't see why you can't keep using it.

Under the WGA arrangements you may find that neither machine will be updated, hence you will be open ta all kinds of threats and the aggravation of endless messages. Best keep it legal and buy another copy

yea you can.. just when you call Microsoft to activate it and they ask you what brand of computer.. tell em the brand of your desktop not the laptop. When they ask you how many computers its installed on just say 1.
