Just tell him the truth. Tell him that you feel you don't know him well enough and are not prepared enough to make that kind of commitment. Don't trash him but tell him that the answer is no but you would like to get to know him better. If you don't have any interest at all then don't lead him on to that though just tell him that you are not ready for that.

You need to add more details. Did you ever date this guy? Is he just a random 'friend' that is madly in love with you? If you're not into him than you obviously would say NO. Even if you are, you need to build a relationship. Don't say YES to the most important question you could ever answer if you question your feelings in the least. Don't fall on the sad side of divorce statistics.

I would simply say thank you very much for your proposal, How ever I can not accept it at this point in time. And if you want to date him let him know, if you don't let him know! You simply say what you did above! Date help to get to know one another to decide a life time thing like marriage!

There is no way not to hurt his ego/feelings. Let him know that you never realized he felt that way about you and you have never thought about him that way.
Do you see any way (getting to know him better, dating, etc) that would make the offer potentially attractive in the future? If there is a possibly, maybe, someday....you might want to let him know that too.

If you have never dated this guy and have never given him any inclination (never been romantic) that you are attracted to hiim, then you are guiltless in this situation. Tell him that you are flattered and shocked. Explain that you find it odd to be proposed to when you have never even dated and that you cannot in all good conscience accept a proposal. Good luck.

Just be frank with him, say "I'm sorry I can't accept the ring because I don't love you the way you love me... and to be honest, Ithought we were just friends". You have to say No. Marriage is a lifelong commitment, and you'll only be lying to him and to yourself by going along with something that you know in your heart isn't what you want... but it's up to you.

thats difficult.. but just tell him "you have been a very nice friend to me ireally appreciate that,but iam not ready for marriage i still have other plans for my life" hope he will smell the sniff!
