The Canon eso 350d or the Nikon d70?Why?

Agreed, the D70/ D70s is a better all around camera than the Rebel XT. The Rebel's extra megapixels only come into play with prints larger than 8x10 inches.
Another consideration is that the D70 comes with a fantastic 18-70mm kit lens. This lens costs $310 sold separately, and it's a bargain even at that price. Canon doesn't have a similar quality lens in that zoom/ price range. The kit lens with the Rebel XT is a rather poor 18-55mm zoom. The Canon 17-85mm is good, but that's a $500 lens.
As for the upgrade path, lens lineup, etc, Canon and Nikon both have everything you could possibly need.

I prefer the Canon EOS 350D for its exceptional image quality, compact size, low weight and good price. The Nikon D70, on the other hand is better for more "professional" use, being easier to hold and with well-built robust body. You should take a look on Olympus E-500 as well - it is a great Digital SLR with unique (for its class) dust cleaning system, vivid colors and good price.

Base on the spec itself, I will pick the d70. It has spot metering, better Continuous Drive and a faster shutter speed. I can careless about Mega Pixel as long as its above 4-5MP. You should consider what kind of lens you will be getting as well when selecting a DSLR since it takes a good lens to give you good quality image.
