I'm going against most user comments on this. I say Spidey all the way. Here's why:
He's stronger - alot stronger // He's Faster - alot faster // His reflexes are better by many factors.
His spidey sense gives him time to get out of the way of the claws - but he doesn't even need this because he's so fast. Useful if an object is coming from a blind spot.
Webbing is like steel! Not rope, but nearly as hard as steel. // He can leap 30-40 feet in the air. Always lands on his feet. // He can fight wolvie upside down.
His fighting style is natural and no other style in the world can match it. He can do things with this style that's impossible for any other martially trained fighter.
Wolverine's claws. Not a problem. Spiderman is so fast, he can get out of the way of 2-3 humans shooting at him within a closed room. That's how fast he is. Imagine someone throwing a punch at you underwater. Wolverine would be slower than this to spidey - alot slower.
Adamantium bones? Not a problem for Spidey. He can pound Wolverine all other his body causing damage that wolverine is gonna' have a long time to recover from. Wolvie's internal organs, blood, veins, etc are not covered with adamantium. His true healing factor is not like that seen in the movies. Getting hit by Spiderman, is like getting hit by a bulldozer. The man can take down a brick wall and has. He can pound on a 2 inch thick metal door and start denting it.
Spidey uses his speed, his strength, his webbing, his humor, his own healing factor (not as good as wolvies). Spidey wins most battles.
I remember a fight between Spidey and Wolvie. Wolvie was out for blood. He was going to kill Spiderman. Spiderman was playing with him and only wanted to calm him down, He ties him up - no escape for Wolvie.
In the animated series, Spidey takes on the x-men. His speed, reflexes, strength made them all look like amateurs.
In Marvel's secret wars, he made all the x-men look like amateurs - with his speed, webbing, etc. No one could touch him. If it wasn't for Prof X taking away memory of the fight, Spidey would have turned them in (long story).
Spidey is sometimes underrated because people see him as human. He is more than that. Spidey could take on Captain America, Wolvie, Daredevil ad Iron Fist at the same time and kill them all if he ever lost his cool.

A lot of people like to say Wolverine would win because he has a badass personality, but that doesn't help in a fight. They have actually squared off before in the past in Spiderman vs. Wolverine the comic. In the end they came to a draw, but in the comic it was understood that spiderman didn't fight to his fullest potential and could have killed Logan if he wanted to (he was going to snap his neck but didn't).
Also, keep in account that spiderman is a lot stronger, faster, more agile then wolverine. He also has his webbing, while wolverine may be able to cut it, what would he do if his whole body gets engulfed in webbin? He doesn't have the super-human strenght to break out of it. He would just be easy picking for spiderman. Wolverine may have a super human healing ability, but don't take X-men 3 as a reference of how fast it is, it's fast, but not crazy fast.

They've already fought and Spiderman would have won if he had the killer instinct he needed to finish the fight.
Wolverine: Healing abilities, speed, claws, agility, decades of fighting experience, ok with killing.
Spiderman: Super strength, super agility, super speed, stronger than steel webbing, wall clinging ability, spider sense.
Spiderman could just stay out of reach and eventually pin down wolvie with webbing. He can't cut if he can't move his arms. Then it's a matter of either using the webbing again too suffocate wolvie. Or, and this is graphic, spiderman couldn't beat wolvie to death, but he could rip out his innards.
Despite what the movies imply, Wolverine is not at all invulnerable. Remember, he has been knocked out twice in the movies. Spiderman could freaking throw cars at him until he was pinned for Christ sake. I love Wolverine, but, he is not in the same class as a bloodthirsty Spiderman. And, I assume these X Vs Y scenarios require both superheroes to fight to the death.

Spiderman vs Wolverine. I love them both. They would resolve the issue and become friends. But it would be fun to see.

Its a toss up and if you asked any comic guy he probably would have to think about it, as I have, ;Personally I think wolverine would win for five reasons
A)He can peirce skin with his claws AND heal nearly instantly
B)Spiderman(although strong) probably isnt as fast as wolverine or nearly as powerful
C)Spiderman would run out of webbing
D)if spiderman ran(it rhymes lol) Wolverine caould and probably would track him down with his advanced smelling and other animal like abilities
E)IF wolverine was(although doubtful) losing he could ask for help via other X-men or the X-jet(although it is doubtful he would do that asking for help isnt his style

Wolverine-hands down. Spiderman is just a kid with a mutation. Wolverine actually has the fast healing thing goin on, and the titanium (or whatever) skeleton. Spidey's just a mere mortal.

actually,neither.of course wolverine has the fast healing power, claws,strength and agilty, spidey is faster and more agile. he also has something wolverine doesn't, webbing.u think that wolverine can slash through them, but i do remember reading about 1 episode where spidey knew wolverine so well,wolverine being all hot headed and all, that spidey just spun him so fast that wolverine was hanging horizontally,claws facing his head and stuck tight,so as to let wolverine cool off. of course wolverine found a way to get out but thats another topic. nice story huh, well there u have it no one attacks anybody,DRAW.

Already happened in secret wars. Happened that he beat the whole Xmen team together easily. So Spiderman all the way. He's beat hulk and the silver surfer and the famtastic 4.
