My grades are slowly dropping, the SAT is coming up and i haven't touched the SAT prep book since summer. Am taking four weighted classes, which contrasts greatly to my last years schedule of just one honors class, which i did mediocrely in. i'm completely stressed out and find myself depressed. i've been thinking of talking to my counselor but it's really just too late to do anything about dropping my classes, which will show up on my transcript. i have no clue what to do, so anyone have an idea?

You should still talk to your counselor. He/she has dealt with these same issues before, and may be helpful in suggesting things you can do to make it easier on yourself. They are there to assist you!

Take a deep breath, and may be three more. Stop panicking, it will accomplish nothing. You are going to have to start working harder and that will mean spending less time with friends and more time studying. Make a schedule of when you have projects due for your classes and a second schedule for how you are going to do them. Have a set of tasks you have to accompish each day. As for regular homework, missing one or two homeworks in each class is not going to kill you, if the choice is study for the SATs or do home work then study and then do what ever you have time to. Bring the SAT books with you to school and study on the ride there and back and during lunch.
It was very ambitious of you to take so many hard classes, but it's not worth it. Take this as a learning experience for next semester. Good luck on the SATs.

Just get to work and do the best you can. Can you get a tutor for
your weakest subjects? Do they have extra help after school? If you don't ask, you don't get! Dont' stress so much, just try to get things done.
