Take her out to a restaurant that she likes, buy her a bunch of flowers that she likes, shave, wear a good pair of clothes, have a ring if you can and then during dinner, talk about how important she is to you and how much she means to you and how she makes you happy and how you would like her in your life. Say that you are confident you can keep her happy and all that. If she needs more time, tell her that you can wait. And make it a point to wait! Some variations can be done. For example, you can go on one knee and pop the question .... don't try some stuff where your mutual friend discusses the case with her and all that. And if in the eventuality that she says no, don't become upset and pissed off. Be suave and smile and control your emotions till you reach home ... and then bawl all you want. Just be courteous with her during the rest of the dinner and on the way back.
A small note: don't overdo the perfume or the aftershave. Girls get a headache easily and we wouldn't want that when we are proposing. Also, pick a place which is plush, but with a romantic setting. If possible, ask the restaurant owners to play her favourite song while you pop the question.
I had proposed to a girl in a different way. I had contacted the waiters in the restaurant where I had made a reservation and had asked them to bring a single rose in a platter with a lid open and place it in the center of the table before the apperitifs. Then, when the waiter had disappeared, I removed the rose from the platter and proposed to the girl. Worked for me :)

ther are many ways to propose to a girl .. and most girls think that when you take them out to dinner a big show and give them a big break for the day the think that you are going to propose.. but the way some girls might like it is to be suprised and for the proposal to be original.. for example : my grandme was proposed to in a car when my grandpa said here hold this - it was a small black box - she was so suprised that she didn't even know if she was holding anything .. so take my advice and try doing what my grandpa did but maybe try to propose to her somewhere else besides a car ..

If you love her enough and she loves you take her some where quite and say. "I love you so much do you love me back." If she says yes than Neel down open the box and say "Will you Mary me."(In the traditional fashion) If she says no than kiss her on the cheek and say good bye. Then look all sad and weep all the way back to your car. She mite come for you.( I know sense I'm a girl that we like sensitive men as well as strong.)

are u in talking terms with her in day to day life? if yes...make it thick. make sure that u r with her almost. findout what is that she is looking for from a man? if possible, be like that and propose her. But ur mind & heart should be sincere. She will be yours..
