If you're running Windows XP already, you shouldn't have any problems with the actual installation of Windows XP Media Center.
Windows XP Media Center is not currently available in a retail box package. Consequently, you'll have to buy it either online or from a local reseller in an OEM package. What that means is that you won't get support directly from Microsoft (no big deal, as their support usually doesn't help much anyway), and you won't be able to upgrade your current installation. (with one possible exception, but i'll get there in a second.)
So make sure you backup all your important data, as the Media Center installation will want to wipe out your current installation. As a matter of fact, that's probably the best way to go about it.
Now, for that exception. Since Windows XP Media Center Edition is basically Windows XP Professional Edition with all the media trimmings added on, you MAY be able to not lose your current installation, but that's ONLY if you are currently running Windows XP Professional Edition. This would entail an in-place repair installation of Windows using the new Media Center media. If you have Pro on your PC right now, the first link below will help you with that.
Again to note, i'm not completely sure that will work, but in theory it should.
My recommendation, though, would be to do a fresh brand-new install of MCE.
Keep in mind that Windows Vista is due out soon, also. The Home Premium edition of Vista will have all the Media Center functionality and all the cool features of Vista, too. Since you're only looking at another two months, you may want to wait until it's released.
Check the Upgrade Advisor at Microsoft to see if your machine can run Vista. I've put the link down below also.

Yes you are able to install Media Center over that. Just follow the steps once you start the setup from the disk.

you are going to have to wipe out xp sp2 and install a new copy of media center on the hd, i wouldn't suggest doing that since media center sucks big time.
