i used to own a EOS 88 or EOS 3000 (not sold in the US) with a lens that says ... Canon Zoom Lens EF 35-80mm 1:4-5.6 III Canon INC 52mm

i want to upgrade to Canon EOS 350d, will the lens work or not?

It will work fine. Old FD lenses wouldn't work, manual focus EF lenses are a real pain, and there are some compatibility issues with third party EF lenses, but your lens will work like a charm.
The only thing to consider, is that the 350D has a sensor that's smaller than a frame of film. The consequence of this, is that all lenses are effectively magnified by 1.6. So your 35-80mm lens will become 56-128mm.
