I am going to believe that you have a legit copy as you say.
when windows updates there list of bad serials they sometimes hit good ones, it is not very often but it does happen.
there are also programs that can generate random keys, if you key was used by pirates they would block your serial.
Give Microsoft a call and they will help you out. You will need your serial number and info on where you got your copy.
This happened to a group of PCs at my high school. (some kids lifted the serial)
more on what you can do:
"Complimentary offer: Microsoft will make a complimentary copy of Windows XP available to customers who have been sold counterfeit Windows. Customers will be required to submit a proof of purchase, the counterfeit CD, and a counterfeit report with details of their purchase. Only high-quality counterfeit Windows will qualify for the complimentary offer."
make a backup of you cd and key and then send in the orignals with proof of purcase.
all the info you need is on:

Bill Gates may be trying to screw you again. 17% of all systems flagged are in fact legit. You can do two things:
1. re-install your OS after saving documents and files you want OR
2. Doing a quick web search for "Removing WGA" there are simple steps you can take to get rid of this crap. NEVER NEVER NEVER NEVER NEVER download ANYTHING from Microsoft that is intended to "validate anything on your cmputer
