Treat her with the utmost respect and consideration. Don't take her for granted. Do nice things for her like buying flowers, treating her to nice restaurants( not necessarily the most expensive), being honest and faithful and loving. If you're doing all of this and it doesn't work out for you, then maybe she isn't the one. Good luck : ) !

Money can attract for some short time - and not touch her heart.
Chocolates and flowers are a good sign of attention, and very pleasant, but they won't lead you any further if your behavior isn't provoking.
The best way to win a woman's heart is being two-faced all the time. Ladies are bored with sincerely good guys. They don't like jerks either. Your task is to switch between these two poles permanently. Keep her in doubt, whether it's worth getting involved with you or not.

Cherish her with all your heart. You must be able to admire her (there should be some things about her that you hold her in utmost admiration). Learn to like little things about her, even if initially some of these may turn you off (for example, BO). Be genuine and sincere, always. Let her have this sense of security whenever she is with you.
Once in a while, throw in little surprises (romantic candle-light dinner, a rose for her, a box of chocolates, etc).

Just reverse way than winning a battle.
To win a battle one need to be strong - to win a girl one need to be tender at heart.
To win a battle one need to defeat the enemy -- to win a women's heart you can not defeat her.
To win a battle you oppose the enemy -- to win a heart you need to support her.
List is endless.
Read some books on How Napoleon and other heroes won battles and you need to do just opposite of what they did.

First and foremost,be your self..You definitely don't want to play a part just to get a girl.. After a while she's going to meet the real you and if the real you isn't what she expected she'll be gone.. Just be you there is someone right now out there looking for you..

Compliment her and mean it. Don't just try to get in her pants. Get to know her and be a genuine nice guy. If she is the right kind of girl she will appriciate that more than anything. Be yourself. And it never hurts to tell her she is beautiful or gorgeous.

do 'sweet things' to her: love notes, sms her when she least expects it
be there for her. very important to be a good listener
take good care of her, but don't over do it as if she's a child who can't take care of herself
be loyal to her
treat her different from other ppl
most of all: be sincere and be yourself. if she loves you that's good. if she doesn't, she just isn't the one. don't change and fit yourself into her mould
oh yes, be sure you make her feel loved. make it unmistakeble that you love her. so that she won;t feel insecure
