How do I go about formatting a laptop with windows xp prior to selling it, to delete all my files & Xp ?

place ur win xp cd in drive then restart ur pc when you see on screen press any key to boot from cd rom hit enter. then follow da on screen menu to format ur hard drive

If you have anything really sensitive, the format process will have an option to write 0s over the whole hard drive so there won't be any bits and pieces of your data left.
