Because the dehydration causes your brain to shrink away from the skull.

The pain receptors pick that up - therefore headache

Weatherman is on the right track. Dehydration between the skull and the brain is also the primary reason for people getting hang overs. When I used to drink I would always drink a quart of water before going to bed. Only 1 hang over...ever.
